Scans 19 to 22 of the FBI Vault’s “Bugsy Siegel” file, Part 18, are a four-page office memorandum to Mr. A. E. Ostholthoff dated August 9, 1946, subject “Benjamin ‘Bugs’ Siegel; Information Concerning, Crime Survey.” The sender’s name is redacted. The first page is stored here. All four pages were read as images and are clear.

The writer states that on August 8, 1946, with the help of a Clark County official whose name is redacted, he “examined a certified copy of the articles of incorporation on the Nevada Project Corporation, owners of the Flamingo Hotel, Las Vegas-Los Angeles Highway.” The articles were filed with Malcolm McEachin, Secretary of State of Nevada, on July 26, 1946, by Louis Weiner, Jr., of the Las Vegas firm of Jones, Weiner, and Jones, who is described as resident agent and attorney for the incorporators. Other Vault pages in this file print the corporation’s name as “Nevada Projects Corporation.”

The memo summarizes the articles. The corporation’s purposes include to “purchase and/or construct hotels and to operate said hotels, together with casinos, liquor concessions, and other allied businesses.” It could issue 1,000 shares of common stock at $250 and 250 shares of preferred stock at $1,000, a total value of $500,000. Article V lists five directors, and Article VIII names the same five as incorporators: William R. Wilkerson, Moe Sedway, Ben Siegel, G. Harry Rothberg, and N. Joseph Ross. The memo says the articles were signed on July 23, 1946 by those five, with notarizations in Los Angeles that day, and filed on July 26. The articles as summarized do not list shareholders. Louis Wiener’s later sworn account of the Flamingo’s ownership is in the Kefauver Committee’s Las Vegas session.
